Khi chuyển đổi số trở thành xu hướng tất yếu và còn là chiến lược Quốc gia, các doanh nghiệp Việt Nam cũng nhanh chóng “số hóa” tối đa các quy trình, thủ tục trong quá trình làm việc, giao dịch. Trong đó phải kể đến hợp đồng điện tử như một công cụ đắc lực hỗ trợ doanh nghiệp tiết kiệm thời gian, chi phí, tối ưu hiệu suất kinh doanh, nâng cao hình ảnh thương hiệu…Hợp đồng điện tử có thể hiểu là loại hợp đồng được thiết lập dưới dạng thông điệp dữ liệu theo quy định của Luật giao dịch điện tử. Trong đó thông điệp dữ liệu là thông tin được tạo ra, được gửi đi, được nhận và được lưu trữ bằng phương tiện điện tử như máy vi tính, laptop, điện thoại, ipad…Để thực hiện ký kết bằng hợp đồng điện tử thì người dùng bắt buộc phải sử dụng các phần mềm ký hợp đồng điện tử được cung cấp bởi các nhà cung cấp đã đăng ký và được cấp phép cung cấp dịch vụ. Hiện nay tại Việt Nam, hành lang pháp lý cho hoạt động chứng thực hợp đồng điện tử đã hoàn thiện, được bảo vệ bởi Luật pháp và theo quy định của Luật Giao dịch điện tử hiện hành.

Thứ trưởng Bộ Công Thương Nguyễn Sinh Nhật Tân cho rằng, hợp đồng điện tử được áp dụng phổ biến trong giao dịch xuyên biên giới, xuất – nhập khẩu, đặc biệt là ở các nước phát triển (theo phát biểu tại Hội nghị “Phát triển hợp đồng điện tử tại Việt Nam – Triển khai Nghị định 85/2021/NĐ-CP”). Hơn nữa kể từ khi đại dịch Covid-19 xuất hiện cho đến nay, nhiều doanh nghiệp dang dần chuyển đổi từ hợp đồng, chứng từ truyền thống bằng giấy sang hợp đồng, chứng từ điện tử. Trên thực tế, đã có 33% doanh nghiệp tại Việt Nam ứng dụng hợp đồng điện tử trong hoạt động thương mại do Sách trắng Thương mại điện tử Việt Nam 2021 công bố càng khẳng định xu hướng này.
